Welcome to syedzr.com. These Terms and Conditions (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client” or “you”), and SYED MUHAMMED ZIAUR RAHMAN, an individual operating as a sole trader under the trade name SYED RAHMAN (“we,” “us,” or “our”), concerning your access to and use of our design services, including our subscription plans and Sprint Week engagements.

By subscribing to our services or utilizing this Website, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you are expressly prohibited from using our services and must discontinue use immediately. Your use of our Website and services is also governed by our Privacy Policy.

(These Services are provided strictly to business customers. By purchasing, you confirm that you are acting in the course of a business, trade, or profession and not as a consumer. You expressly request that we begin providing the Services immediately and, to the fullest extent permitted by law, you waive any statutory cancellation or “cooling-off” period that might otherwise apply.)

1. THE SERVICES

We operate primarily on a design subscription model and also offer a fixed-scope, time-boxed engagement known as the “Sprint Week” (each, a “Service”). Depending on the plan selected at checkout, the Client is entitled to submit design requests to their active queue.

  • Request Queue: Requests are processed one at a time unless otherwise stated in your specific plan tier. We will make reasonable efforts to deliver updates on progress within 24 to 48 business hours of receiving a fully detailed request.

  • Communication & Collaboration: Active requests are managed via a dedicated Trello board, with ongoing communication through X (Twitter) and/or Telegram. Monthly subscription plans also include scheduled weekly sync and consulting calls as specified in your selected tier.

  • No Guarantees on Speed: While we strive for consistent turnaround times, delivery dates are estimates and not guarantees. Complex requests (e.g., full website UI layout, large pitch decks) will naturally take longer and may be delivered in phases.

  • Sprint Week: The Sprint Week is a structured five (5) day design engagement. It begins with a mandatory one (1) hour alignment call booked at the time of payment, and the five-day countdown starts only after this briefing call has taken place. Deliverables are scoped to the goals agreed during that call.

2. BILLING, PAYMENTS, AND FEES

  • Auto-Renewal: All subscriptions are billed on a recurring basis (monthly or annually, depending on your tier) in advance of services rendered. Your subscription will automatically renew at the end of each billing cycle unless canceled.

  • Payment Processor: We use Stripe, Inc. to securely handle all payment transactions. By subscribing, you agree to provide Stripe with valid credit card or billing details. We do not store or directly access your financial information.

  • Failed Payments: If Stripe is unable to process your recurring payment, your active design queue will be suspended immediately, and all work will cease until a valid payment method is updated and successfully charged.

  • No-Refund Policy: Due to the digital and custom nature of design work, all payments made through Stripe are strictly non-refundable.

  • Sprint Week Fee: The Sprint Week is charged as a single, upfront fee paid in advance via Stripe and does not auto-renew. The alignment call must be booked during payment before any work commences.

3. CANCELLATION POLICY

  • Cancellation: You may cancel your subscription at any time directly through your client billing portal or by emailing connect@syedzr.com. Cancellation will prevent future automated billing. You will retain access to your design queue until the end of your current paid billing cycle.

  • Sprint Week Scheduling: Once the Sprint Week countdown has begun following the alignment call, the engagement cannot be rescheduled or refunded, as the dedicated time block has been reserved exclusively for you.

4. INTELLECTUAL PROPERTY RIGHTS

  • Ownership Transfer: Subject to full, completed payment via Stripe, all final design deliverables, source files, and digital assets created for the Client during an active subscription period transfer completely to the Client.

  • Unpaid Work Exception: If a billing chargeback occurs, a payment bounces, or a subscription is disputed, we retain full ownership of all designs created during that disputed period. The Client must immediately cease using any of those materials.

  • Portfolio Rights: We reserve the right to display any completed design deliverables on our website, social media, and portfolio for promotional purposes, unless a separate Non-Disclosure Agreement (NDA) has been explicitly agreed upon and signed by both parties.

5. SOURCE FILES AND REVISIONS

  • Source Files: Deliverables will be provided in standard digital formats (e.g., Figma links, Adobe Creative Cloud formats, PNG, JPEG, PDF) as requested.

  • Revisions: You are entitled to unlimited revisions on active design tasks within your plan scope. Each revision request is placed into your active queue and may reset the standard turnaround window for that specific item.

  • Sprint Week Revisions: During a Sprint Week, revisions are accommodated within the active five-day window. Requests submitted after the window closes fall outside the Sprint Week scope and may require a new engagement.

6. BUSINESS STATUS & TRADER IDENTITY

The Client acknowledges that Syed Rahman is a trade name used by a sole trader (not a registered limited company), SYED MUHAMMED ZIAUR RAHMAN. All contractual obligations, liabilities, and Services are provided by Syed Rahman personally as an individual trader under the laws of England and Wales.

7. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded under the laws of England and Wales. To the maximum extent permitted by law, Syed Rahman will not be liable to the Client or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages—including lost profit, lost revenue, or loss of data—arising from your use of the website or design services, even if we have been advised of the possibility of such damages. Our total liability to you for any cause whatsoever will at all times be limited to the amount paid by you to us during the one (1) month period prior to the cause of action.

8. GOVERNING LAW

These Terms and your use of the Website are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any legal action or dispute brought under these terms shall be handled exclusively in the courts of London, England.
